Hextar Industries shareholders told to reject takeover offer

Independent adviser deems the offer price of 38.175 sen per share as "not fair" and "not reasonable".

Hextar Holdings owns a 45.66% stake in Hextar Industries, formerly known as SCH Group Bhd.

Hextar Holdings is 64.7%-owned by Datuk Eddie Ong Choo Meng, together with his parents Datuk Ong Soon Ho (23.9%) and Datin Teoh Siew Yoke @ Teoh Siew Chin (11.4%).

Malacca Securities Sdn Bhd said even though the offer price of 38.175 sen per share is higher by 30.49% than the estimated value of Hextar Industries shares of 29.256 sen as at Nov 7, it is of the view that the offer price is not fair after taking into consideration that it is 33.61% lower than the closing price as at Nov 7 of 57.5 sen, and 38.08% lower than the five-day volume weighted average market price up to the Nov 7 of 61.65 sen.

Signature International acquires 19.9m shares or a 0.72% stake in Hextar Industries for RM11.51m

Purchased the shares in six tranches between Nov 21 and Dec 7 at an average price of 57.8 sen apiece.

Surged a staggering 312.5% year to date (YTD).

Hextar Industries is principally engaged in fertiliser, equipment rental, heavy equipment and investment holding.

Businessman Datuk Eddie Ong Choo Meng is Hextar Industries' largest shareholder, via his private vehicle Hextar Holdings Sdn Bhd, with an indirect shareholding of 2.04 billion shares or a 74.091% stake, according to Hextar Industries’ filing on Dec 7.

Besides Hextar Industries, Ong also has interests in companies such as Hextar Global Bhd, Hextar Technologies Solutions Bhd, Hextar Healthcare Bhd (formerly known as Rubberex Corp (M) Bhd), KIP Real Estate Investment Trust, Pekat Group Bhd, SWS Capital Bhd, Opcom Holdings Bhd, Classic Scenic Bhd, and most recently Perak Transit Bhd.

Hextar Industries gets shareholders’ nod to acquire Hextar Fertilizer for RM480m, triggers mandatory takeover by parent company

Hextar Industries Bhd (HIB) has received shareholders’ approval to acquire the entire equity interest in Hextar Fertilizers Ltd (HFL) from Hextar Holdings Sdn Bhd (HHSB) for RM480 million.

The purchase will be satisfied via an issuance of 1.6 billion new shares in HIB at an issue price of 30 sen a share.

HHSB will undertake a selldown of its shareholdings in HIB via an offer for sale to independent investors to be identified, to ensure that the latter complies with the minimum public spread requirement of 25%.

Hextar Industries Bhd registered a net profit of RM4.01 million in the three months ended Nov 30, 2022, up 29.8% from RM3.09 million in the immediate preceding quarter (three months ended Aug 31), mainly due to better profit margin achieved from the products’ sales mix.

This was despite revenue decreasing 6.9% to RM57.16 million from RM61.4 million amid lower delivery of fertilisers, and lower sales from the trading of industrial batteries.

There is no comparative year-ago quarter as the group recently changed its financial year end from Aug 31 to Dec 31.

Hextar Industries, which is currently trading at a price-to-earnings ratio of 85.2 times, closed at 80 sen on Wednesday. Its market capitalisation stood at RM2.2 billion.

Over the past year, the counter has risen 186%.

Hextar Industries expects fertilisers demand to stay healthy

With the recent recovery of crude palm oil (CPO) prices back to circa RM4,000 per metric tonne and with the easing of foreign labour issues, we are anticipating that demand for fertilisers will remain healthy in 2023.

HIB posted a net profit of RM98.1mil on revenue of RM1.29bil for the 16-month financial period ended Dec 31, 2022.

Several strategic locations namely Bintulu, Lahad Datu, Port Klang and Pasir Gudang.

Eventual transfer to the Main Board once we have met the necessary requirements.

Hextar Industries posts RM20.42m net profit for 1Q on higher gross profit margin

Posted a net profit of RM20.42 million or 0.74 sen per share on revenue of RM269.43 million for the first quarter ended March 31, 2023 (1QFY2023).

Mainly driven by higher gross profit margin achieved in its fertilisers division. Its fertiliser division contributed RM254.9 million or 94.6% to its total revenue.
