AirAsia Group proposes private placement to raise RM454.5 million to address interim cash flow requirements

KUALA LUMPUR (Jan 21): AirAsia Group Bhd is proposing to issue up to 668.39 million new shares or 20% of its current share capital for private placement to raise RM454.51 million.

The proposed sum is based on an indicative price of 68 sen per share.

The low-cost carrier said the private placement is not sufficient to meet its long-term cash flow.

The move is an interim measure to address its immediate cash flow operations while it explores other options to improve its long-term financial performance.

Maintain BUY with a lower TP of MYR0.84 (-35%)


Higher fares and lower lease rates have more than compensated for the weaker MYR and still high oil prices.

We now forecast CAPITALA’s return to profitability to be delayed by a year to FY24E only due to slower-than expected redeployment of aircraft.

Although we cut our SOP-based TP to MYR0.84 from MYR1.29, CAPITALA still offers >30% upside potential.

On another note, CAPITALA assured us that there will not be another rights and/or debts will not be converted into new shares.

Capital A’s load factor surpasses the 80% level

PETALING JAYA: Capital A Bhd’s consolidated airlines comprising the Malaysia, Thailand, Indonesian and Philippines divisions of AirAsia, registered a load factor of 88% in the second quarter of the year (2Q23).

In a statement, the group said the number of passengers nearly doubled to 14.2 million over 2Q22.

There are a total of 16.2 million seats available, operated by 146 of the 166 activated aircraft. According to Capital A, the consolidated airlines have recovered 73% and 74% of the capacity and passengers carried in the first half of 2019, respectively.

It said that in tandem with the strong resurgence of travel demand, the group’s available seat kilometres grew to 18,989 million, up 132% year-on-year (y-o-y) and revenue passenger kilometres rose 146% y-o-y to 16,312 million.

“Throughout 2Q23, the domestic performance was incredibly strong and international market traffic remained buoyant with favourable load factor.

“In response to the robust international market demand, the group has reallocated more capacity to international routes to meet the strong resurgence from the international market,” it said while announcing group-wide operating results.

In other segments, Capital A’s airasia Superapp recorded quarterly average monthly active users rose 40% y-o-y to its highest of 15 million in 2Q23.

BigPay’s carded users grew 16% y-o-y to 1.4 million users with a 40% increase in gross transaction value (GTV) driven by domestic transactions within the payment an remittance products.

In addition, Marketplace GTV grew 32% y-o-y with the introduction of prepaid mobile top-ups.

The lending segment that was launched in Malaysia in 1Q22, grew 6% y-o-y.

In its logistics segment, Capital A said Teleport moved 45,250 tonnes of cargo, which was a 105% increase y-o-y on the increased cargo belly capacity from the return of international flights and increased utilisation.

Capital A sees strong finish to 2023, confident in future performance

Our goal is to bring 187 aircraft back into service by year-end, around 80% of our pre-pandemic levels.

For its third quarter ended Sept 30, 2023, Capital A reported a lower net loss of RM178.82mil, compared with a net loss of RM901.31mil in the previous corresponding period, while revenue jumped to RM4.2bil compared with RM1.96bil a year earlier.

The company reported a basic loss per share of 4.30 sen, compared with a loss per share of 22.30 sen previously.

ESG 2.0: commendable long term targets

Maintain BUY call and MYR1.01 SOP-TP

During the COVID-19 pandemic, it is understandable that CAPITALA was preoccupied with surviving.

Yet, our read of its FY22A sustainability report was refreshing. There is room to improve especially on its net promoter score and female representation on its BOD but we note that CAPITALA has set ambitious ESG related targets (see page 4) which exhibits its
commitment to ESG initiatives.

CAPITALA scores marginally above-average in our proprietary scoring methodology with an overall score of 59/100.

Target: RM 1.01

Capital A to list on Nasdaq via SPAC deal

Aetherium Acquisition will acquire all the issued and outstanding share capital of Capital A International, resulting in the formation of a new listed entity.

Capital A said the proposed business combination will be at an indicative equity value of US$1bil based on an independent valuation of the AirAsia Brand.
