L'OCCITANE Controlling Shareholder Proposes Privatization at $34/ Shr or w/ Rollover Shrs; Trading to Resume PML'Occitane Groupe S.A. (LOG), a controlling shareholder of L'OCCITANE (00973.HK) with a 72.63% stake, had proposed to privatize L'OCCITANE in late April.
L'OCCITANE later announced the relevant revised privatization proposal, and that a new registered holding company, L'Occitane Holding S.A., was established in connection with the privatization as the Offeror to make the Offer and issue the Rollover Shares under the Share Options.
Minority Shareholders will have the option to choose between a cash offer of $34 per share or an exchange of each Offer Share for 10 Rollover Shares of L'Occitane Holding S.A. in acceptance of the Privatization Offer.
The Share Options are subject to a maximum of approximately 73.7431 million Offer Shares, representing 5% of the total issued and outstanding shares of the Company.
LOG has received Irrevocable Undertakings, which amount to, in aggregate 104 million Offer Shares, representing approximately 7.06% of the issued and outstanding share capital of the Company and 25.78% of the Offer Shares held by Disinterested Shareholders.
In addition, according to the Non-binding Letters of Support, holders of approximately 37.3972 million Offer Shares indicated their intention to accept or procure acceptance of the Share Offer, representing approximately 2.54% of the issued and outstanding share capital of the Company and 9.27% of the Offer Shares held by Disinterested Shareholders.
Global Alpha undertook to LOG that it will recommend to its clients that they accept the Share Offer and receive the Offer Price in cash, involving approximately 0.79% of the issued and outstanding share capital of the Company and 2.9% of the Offer Shares held by Disinterested Shareholders
Trading in the Shares of L'OCCITANE has been suspended since 9:00 a.m. today (17th) and an application has been made for resumption of trading from 1:00 p.m. onwards.
