b) BBRNA Litigation Update

The Board of Directors of the Company refers to the announcement entitled “BBRNA Litigation Update” dated 1 April 2016 in relation to the Company’s proceedings in the Supreme Court of Victoria, Australia against Babcock & Brown Global Investments Management Pty Ltd (“BBGIM”) and certain of its officers for, inter alia, false and misleading representations made to the Company in respect of its investments in railcar portfolios through Babcock & Brown Rail North America LLC, breaches of fiduciary duties and
breaches of duty and contract (the “Proceeding”).

The Company wishes to announce that it has (a) agreed to discontinue its action against the sixteenth defendant, Brad Hopwood and (b) agreed with BBGIM’s application to set aside the default judgment against BBGIM. The suit against BBGIM will proceed in parallel with the suit against the remaining individual defendants to the Proceeding (Julian Blackley, Emma Yim, and Dominic Millgate).

The Proceeding is not expected to have any significant impact on the financial performance of the Company for the financial year ending 31 December 2016.

GIL RECORDED AN ANNUAL GROWTH OF 9.4% IN NET ASSET VALUE PER SHARE AND ITS TOTAL COMPREHENSIVE INCOME DOUBLED TO S$27.0 MILLION FOR THE FULL YEAR ENDED 31 DECEMBER 2016


Total comprehensive income doubled to S$27.0 million for the full year ended 31 December 2016

Net asset value per share was 20.0 Singapore cents
as at 31 December 2016, an increase of 9.4% from 2015 after adjusting for dividends distributed

Final dividend of 0.75 Singapore cents per share
and total dividend of 1.5 Singapore cents per share in respect of year ended 31 December 2016

GLOBAL INVESTMENTS LIMITED RELEASES INTERIM DIVIDEND GUIDANCE OF 0.65 SINGAPORE CENTS PER SHARE FOR THE FINANCIAL YEAR ENDING 31 DECEMBER 2017

The Board is embarking on a review of the longer-term sustainability of the dividend pay-out, taking into consideration of the economic income, the build-up of retained earnings and net asset value growth.

The Company has decided to provide an interim dividend guidance of 0.65 Singapore cents per ordinary share in the capital of the Company in respect of the financial year ending 31 December 2017.

The interim dividend is expected to be declared in August 2017 together with the announcement of the 1H 2017 results and is expected to be paid in October 2017.

As per current practice, a final dividend guidance will be announced in November 2017 together with
the announcement of the 3Q 2017 results.

1Q 2017 Results

The Group recorded a total comprehensive income of S$5.4 million for 1Q 2017 compared to a loss of
S$7.8 million in the same quarter last year.

The Group achieved earnings per share of 0.44 Singapore cents (based on weighted average number
of shares of 1,551,775,404) in the period ended 31 March 2017 as compared to 0.14 Singapore cents
(based on weighted average number of shares of 1,446,433,831) in the same period last year.

The net asset value per share of the Group as at 31 March 2017 was 19.6 Singapore cents.

GLOBAL INVESTMENTS LIMITED – CHANGE IN DIVIDEND POLICY

The Board of Directors of Global Investments Limited (the “Company”) refers to its review of the longterm sustainability of the dividend payout of the Company as stated in the announcement made together with the release of interim dividend guidance on 11 May 2017.

The Company has been paying out the majority of the economic income received from its investments after payment or provision for operating and financing expenses as dividends.

The economic income is not reported in the financial statements and hence investors have been unable to relate it to the dividends paid.

To better align the dividend payments with profit and ensure that the Company is able to pay dividend on a sustainable basis, the Company will endeavour to pay out most of the profit after tax, after taking into consideration the Company’s requirements for future growth.

The Company will declare dividend out of retained profit under certain circumstances.

The Board of Directors of Global Investments Limited (the Company) refers to the Company’s AGM Presentation Slides released on 24 April 2018 (Previous Update) in relation to the Company’s proceedings against Babcock & Brown Global Investments Management Pty Ltd (BBGIM) and certain of its officers for, inter alia, false and misleading representations made to the Company in respect of its investments in railcar portfolios through Babcock & Brown Rail North America LLC, breaches of fiduciary duties and breaches of duty and contract (the Proceeding).

Further to the Previous Update, the Board wishes to announce that hearing of the Proceeding was postponed to 11 May 2018.
