No need to worry if you are using TA to trade. Just treat them as Citicorp

bluechipstamp wrote:China has a 5 year losses carry forward tax rule, if i'm not wrong. If the resulting cash shell purchases a profitable business, it could tap on the "retained losses" to reduce tax significantly. The value obtained would then be more than the remaining cash.

The shell company is not a Chinese company. The retained losses should be carried along with the sold subsidiaries.

Thx cif.

In note 33 in the latest AR, the retained losses are shown at the holding company level. The B/S in the same AR also shows the "reserves" (which incl the retained losses) being almost fully contributed by the holding company, so I'm not so sure about it being carried with the sold subsidiaries. I'm not an accountant though, so I may be wrong.

I don't know either. Maybe someone in this forum will know.

My guess is that those tax losses are "transferable" and presented in holding company level. After deconsolidation, it might split up to go back to the sub. Or maybe the buyer can elect to retain these losses at Eagle (because they will have no chance to finish using them??)...then again, to use these credits, the new business must also be in the PRC. Wow, that's my long list of assumptions.

Adding some notes. In the announcement today, company said it will return a big part of the cash to shareholders.
